GMO AI RAG チャット 利用規約
この利用規約(以下「本規約」といいます。)は、GMOプライム・ストラテジー株式会社(以下「当社」といいます。)が提供する「GMO AI RAG チャット」に関連するサーバーサービスの利用条件を定めるものです。
「GMO AI RAG チャット」のWordPressプラグインとして配布されるソフトウェアについては、本規約による利用許諾ではなく、GNU General Public License version 2 またはそれ以降のバージョン(以下「GPL」といいます。)が適用されます。
本規約は、GPLによってユーザーその他の者に認められた本プラグインの利用、複製、改変、頒布その他の権利を制限するものではありません。
第1条(定義)
- 「本プラグイン」とは、当社が「GMO AI RAG チャット」の名称で提供するWordPress用プラグインソフトウェアをいいます。
- 「サーバーサービス」とは、本プラグインその他の方法を通じて接続され、当社または当社の委託先のサーバー上で提供されるAIチャット、RAG処理、データ保存、APIその他の機能をいいます。
- 「本サービス」とは、本規約に基づいて当社が提供するサーバーサービスおよびこれに付随するサポートサービスをいいます。
- 「ユーザー」とは、本規約に同意し、当社所定の手続により本サービスの利用登録または申込みを行った者をいいます。
- 本サービスには、無償で利用できるプラン(以下「無償プラン」といいます。)および有償で利用できるプラン(以下「有償プラン」といいます。)があります。
第2条(本プラグインのライセンス)
- 本プラグインは、GNU General Public License version 2 または、それ以降のバージョンの条件に従って提供されます。
- 本プラグインの利用、複製、改変、頒布その他GPLによって認められる行為については、GPLの条件が適用され、本規約への同意、本サービスへの登録、本サービスの利用または料金の支払いを条件とするものではありません。
- 本規約のいかなる規定も、本プラグインについてGPLにより認められた権利に追加的な制限を課すものと解釈されないものとします。本規約とGPLとの間に矛盾または抵触が生じた場合、本プラグインに関してはGPLの定めが優先します。
- 当社が著作権を有する本プラグイン内のプログラムコード、JavaScript、CSS、データ、画像その他の同梱物は、GPLの条件に従って提供します。
- 本プラグインに第三者が権利を有するライブラリ、コード、画像その他の著作物を含める場合、当社はGPLと互換性を有するライセンスのもののみを使用し、当該第三者ライセンスに必要な表示を維持するものとします。
- 本プラグインには、GPLのライセンス本文その他GPL上必要となる情報を同梱するものとします。
- 当社は、本プラグインのGPLに基づく改変または再頒布を理由として、本プラグイン自体の利用を禁止するものではありません。ただし、当社は、第三者によって改変または再頒布された本プラグインについて、サポート、本サービスとの互換性その他の保証を行う義務を負いません。
第3条(本サービス利用契約の成立)
- 本サービスの利用を希望する者は、当社所定の方法により本規約に同意し、本サービスへの利用登録または申込みを行うものとします。
- 当社が前項の申込みを承諾した時点で、当社とユーザーとの間に本サービスの利用に関する契約(以下「サービス利用契約」といいます。)が成立します。
- 本規約への同意またはサービス利用契約の成立は、本プラグインについてGPLに基づき認められる利用、複製、改変または頒布等の条件ではありません。
- 本規約に同意しない者またはサービス利用契約が終了した者であっても、本プラグインについてはGPLの条件に従って利用することができます。ただし、当社が提供するサーバーサービスを利用することはできません。
第4条(本サービスの内容)
- ユーザーは、契約した無償プランまたは有償プランに応じて、当社が定めるサーバーサービスを利用することができます。
- 無償プランと有償プランとの差異は、サーバー上で提供される機能、処理量、保存容量、利用回数、サポートその他当社が別途定めるサービス内容に関するものとします。
- 本プラグインに同梱されているプログラムコード自体の利用、複製、改変または頒布に関するGPL上の権利を、料金の支払い、ライセンスキーの購入その他の方法によって解除または制限するものではありません。
- 当社は、本サービスの内容および機能を変更することがあります。ただし、当該変更によって、本プラグインについて既にGPLに基づき付与された権利が変更または制限されることはありません。
第5条(本サービス利用の対価)
- 有償プランの利用料金は、当社ウェブサイトその他当社が指定する方法により表示する金額とします。
- ユーザーは、当社が指定するクレジットカード決済、銀行振込その他の方法により料金を支払うものとします。
- 有償プランについて、当社が利用料金の支払いを確認した後、当社は当該有償プランに対応するサーバーサービスを提供します。
- 前各項に定める料金はサーバーサービスの利用その他当社が明示するサービスの対価であり、本プラグインについてGPLにより認められる権利の対価または許諾料ではありません。
- 法令上返金が必要となる場合を除き、サービス利用契約が終了した場合であっても、当社は既に支払われた利用料金を返金しません。
第6条(ユーザーサポート)
- ユーザーが本サービスに関する一般的な問い合わせを希望する場合、当社ウェブサイト上の問い合わせ窓口その他当社が指定する方法により行うものとします。
- 当社は、すべての問い合わせへの回答を保証するものではありません。
- 本プラグインが第三者によって改変された場合その他当社が提供した状態と異なる場合、当社は、当該改変部分に関するサポートまたは本サービスとの互換性を保証する義務を負いません。この規定は、GPLに基づく改変または頒布を禁止するものではありません。
第7条(秘密保持義務)
- 当社は、本サービスに関連してユーザーから開示される秘密として取り扱うべき情報(以下「秘密情報」といいます。)を適切に管理します。

次の各号に該当する情報は秘密情報に含まれません。
- 開示される以前に公知であったもの
- 開示された後、当社の責めによらず公知となったもの
- 開示される以前から当社が適法に保有していたもの
- 正当な権限を有する第三者から秘密保持義務を負わず適法に取得したもの
- 開示された情報によることなく独自に開発したもの
- 当社は、ユーザーの事前の承諾なく秘密情報を第三者に開示または漏えいしません。ただし、法令または裁判所その他公的機関の命令等により開示が必要な場合、必要な範囲で開示することができます。
第8条(秘密情報の管理)
- 当社は、秘密情報を本サービスの提供に必要な範囲でのみ使用します。
- 当社は、本サービスの提供のため秘密情報を知る必要がある当社の役員、従業員、委託先または再委託先に秘密情報を開示することができます。
- 前項の場合、当社は、当該開示先に対し適切な秘密保持義務を負わせるものとします。
第9条(再委託)
当社は、本サービスの全部または一部を第三者に委託または再委託することができます。この場合、当社は当該委託先の選任および監督について責任を負います。
第10条(反社会的勢力の排除等)
- 本規約において「反社会的勢力」とは、暴力団、暴力団員、暴力団準構成員、暴力団関係企業、総会屋、社会運動等標ぼうゴロ、特殊知能暴力集団その他これらに準ずる者をいいます。

ユーザーおよび当社は、現在および将来にわたり、次の各号のいずれにも該当しないことを表明し、保証します。
- 反社会的勢力に該当し、または該当していたこと
- 反社会的勢力を不当に利用すること
- 反社会的勢力に資金または便宜を提供すること
- 反社会的勢力と社会的に非難されるべき関係を有すること
- 自らまたは第三者を利用して暴力的または脅迫的な行為を行うこと
- 自らまたは第三者を利用して、風説、偽計または威力により相手方の信用を毀損し、または業務を妨害すること
- その他前各号に準ずる行為を行うこと
- 相手方が前項に違反した場合、当事者は、事前の通知または催告なくサービス利用契約を解除することができます。
- 本条に基づくサービス利用契約の解除は、本プラグインについてGPLに基づき既に付与されている権利を終了させるものではありません。
第11条(サービス利用契約の解除)

ユーザーまたは当社は、相手方に次の各号のいずれかが生じた場合、事前の通知または催告なくサービス利用契約を解除することができます。
- 支払停止または支払不能となった場合
- 破産、民事再生、会社更生、特別清算その他これらに類する手続の申立てがあった場合
- 手形または小切手について不渡り処分を受けた場合
- 差押え、仮差押え、仮処分、強制執行または競売の申立てがあった場合
- 租税公課の滞納処分を受けた場合
- 金融機関から取引停止処分を受けた場合
- 財産状態が著しく悪化し、またはそのおそれがあると認められる場合
- サービス利用契約について重大な違反があった場合
- その他サービス利用契約を継続し難い重大な事由が生じた場合
- 当社は、ユーザーが本規約に違反した場合、相当期間を定めて是正を求め、当該期間内に是正されないときは、サービス利用契約を解除することができます。
- 前二項による解除の効果は、本サービスへのアクセス、アカウントその他サービス利用契約に基づく権利に限られます。
- サービス利用契約が解除された場合であっても、本プラグインについてGPLに基づきユーザーその他の者に付与された権利は、本規約を理由として終了または制限されません。
第12条(本サービスの終了)
- 当社は、30日前までに当社ウェブサイトへの掲示その他当社が適当と判断する方法でユーザーに通知することにより、本サービスの全部または一部を終了することができます。
- 有償プランの料金の支払いが終了または停止した場合、当該支払済期間の終了をもって有償プランに対応するサーバーサービスの提供を終了することができます。
- サービス利用契約が終了した場合、ユーザーは、終了したサービスに係るAPIキー、認証情報その他当社が指定する情報の利用を停止するものとします。
- サービス利用契約の終了後も、ユーザーは、本プラグインを削除またはアンインストールする義務を負わず、GPLの条件に従って引き続き本プラグインを利用、複製、改変または頒布することができます。
第13条(禁止事項)

ユーザーは、本サービスの利用に関して、次の行為を行ってはなりません。
- 法令または本規約に違反する行為
- 当社、他のユーザーまたは第三者の知的財産権、プライバシー、名誉その他の権利または利益を侵害する行為
- 当社のサーバーまたはネットワークを破壊、妨害または不正に利用する行為
- 本サービスの運営を妨害する行為
- 当社に虚偽の情報を提供する行為
- 不正アクセスその他本サービスの安全性を害する行為
- その他本サービスの適正な提供を著しく妨害する行為
- 当社は、ユーザーが前項に違反した場合、本サービスの全部または一部の利用を制限し、またはサービス利用契約を解除することができます。
- 本条は、本プラグインについてGPLに基づき認められる利用、複製、改変、解析または頒布その他の適法な行為を禁止または制限するものではありません。
第14条(期限の利益の喪失)
ユーザーがサービス利用契約に基づく重大な債務不履行その他当社が期限の利益を喪失させることのできる事由に該当した場合、法令上認められる範囲で、当社に対して負担するサービス利用契約上の債務について期限の利益を失うものとします。
第15条(不可抗力)
当社が次の各号に掲げる事情その他当社の合理的な管理を超える事情により本サービスの提供を遅延し、または提供できなかった場合、法令上認められる範囲で当社は責任を負わないものとします。
- 自然災害、火災または爆発
- 感染症
- 戦争または内乱
- 暴動または社会的混乱
- 公権力による命令または処分
- 当社の合理的な管理を超えるシステム障害、通信障害または停電
- 本サービス提供のため必要となるシステムの保守
- 労働争議
- その他前各号に準ずる事情
第16条(サービス利用契約上の地位等の譲渡)
- ユーザーは、当社の事前の承諾なく、サービス利用契約上の地位、アカウントまたはサービス利用契約に基づく権利義務を第三者に譲渡し、承継させ、または担保に供することはできません。
- 前項は、本プラグインのコピーの頒布その他GPLによって認められている行為を制限するものではありません。
第17条(本規約の変更)
- 当社は、法令に従い、本規約を変更することができます。
- 当社が本規約を変更する場合、変更内容および効力発生日を当社ウェブサイトその他適切な方法により周知します。
- ユーザーが変更後の本規約に同意しない場合、変更後のサービス利用契約に基づく本サービスの利用を終了することができます。
- 前項の場合であっても、ユーザーは本プラグインをアンインストールまたは削除する義務を負いません。
- 本規約の変更によって、本プラグインについて既にGPLに基づき付与されている権利を変更し、撤回し、または制限することはありません。
第18条(保証の否認および免責)
- 本プラグインについての保証および免責は、GPLの定めおよび適用される法令に従うものとします。
- 当社は、本サービスについて、ユーザーの特定の目的への適合性、期待する機能、正確性、有用性、継続性または不具合が生じないことを保証するものではありません。
- 当社が本サービスに関してユーザーに損害賠償責任を負う場合、その賠償額は、当社に故意または重大な過失がある場合その他法令上責任制限が認められない場合を除き、ユーザーが当社に対して直近1か月間に支払った本サービスの利用料金相当額を上限とします。
- 本サービスに関連してユーザーと第三者との間に生じた取引、連絡または紛争については、当社の責めに帰すべき事由がある場合を除き、ユーザーの責任において解決するものとします。
第19条(GPLと本規約との関係)
- 本規約は、本サービスに関する契約条件を定めるものであり、本プラグインの著作権ライセンス条件を変更するものではありません。
- 本プラグインに関する利用、複製、改変、頒布その他のライセンス条件について本規約とGPLとの間に矛盾または抵触がある場合、GPLが優先します。
- 本サービスの利用停止、契約解除、料金未払い、本規約への不同意その他サービス利用契約上の事情は、それ自体を理由として、本プラグインについてGPLに基づき適法に取得した権利を消滅させるものではありません。
第20条(存続条項)
第5条、第7条、第8条、第10条、第18条、第19条、本条、第21条および第22条その他その性質上サービス利用契約終了後も存続すべき規定は、サービス利用契約終了後も有効に存続します。
第21条(分離可能性)
本規約の一部の規定が、法令または管轄権を有する裁判所によって無効または執行不能と判断された場合であっても、本規約のその他の規定は引き続き有効に存続するものとします。
ただし、本条によってGPLの条件を変更または制限するものではありません。
第22条(言語、準拠法および管轄裁判所)
- 本規約の正文は日本語とします。
- 本規約およびサービス利用契約の準拠法は日本法とします。
- 本規約またはサービス利用契約に起因しまたは関連する紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。
- 前二項は、本プラグインについてGPLに基づき成立するライセンス関係に追加的な制限を設けることを目的とするものではありません。
